Terms of Service

1. Acceptance of Terms

By accessing or using the QOnsApp platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

QOnsApp is a multi-tenant Software-as-a-Service (SaaS) platform for workforce and concierge management. The Service includes shift scheduling, time tracking, building management, reporting, analytics, and related operational tools. Features vary by subscription tier.

3. Account Registration and Security

To use the Service, you must create an account or be invited by an organization administrator. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and account credentials.
  • Promptly notify us of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Multi-Tenant Environment

QOnsApp operates as a shared multi-tenant platform. Each organization ("Tenant") has a logically isolated workspace. You agree that:

  • You will only access data belonging to your authorized organization(s).
  • You will not attempt to access, modify, or interfere with other Tenants' data.
  • Organization administrators are responsible for managing user access within their Tenant.
  • Role-based permissions are set by your organization and enforced by the platform.

5. Subscription and Billing

5.1 Plans

The Service is offered under Starter, Professional, and Enterprise subscription tiers. Each tier includes different feature sets, usage limits, and data retention periods as described on our pricing page.

5.2 Free Trials

We may offer free trial periods. At the end of a trial, your account will be downgraded to the Starter tier unless you subscribe to a paid plan. No charge will be made without your explicit consent.

5.3 Payment

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' written notice.

5.4 Suspension for Non-Payment

If payment fails, we may suspend access to the Service after a 7-day grace period. Your data will be retained for 30 days after suspension, after which it may be deleted.

6. Permitted Use

You agree to use the Service only for its intended purpose and not to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to compete with QOnsApp or to build a similar product.
  • Scrape, harvest, or collect data from the Service by automated means.
  • Impersonate another user or misrepresent your role or authority.

7. Data Handling

Your use of the Service is also governed by our Privacy Policy. For organizations processing employee personal data through the Service, our Data Processing Agreement applies and forms part of these Terms.

You retain ownership of the data you upload to the Service. We claim no intellectual property rights over your data. We process your data solely to provide and improve the Service as described in our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by QOnsApp and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription, subject to these Terms.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QONSAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless QOnsApp, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may close your account through the account settings or by contacting support. We may suspend or terminate your access if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Service ceases immediately. You may request a data export before termination. We will retain your data for 30 days after termination to allow for export, after which it will be deleted.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@qonsapp.com. If the dispute is not resolved within 30 days, either party may pursue formal resolution as described in Section 13.

15. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or through the Service. Continued use after the effective date constitutes acceptance. If you do not agree with the changes, you may terminate your account before the effective date.
